Terms of Service

THESE TERMS OF SERVICE (the "Agreement") GOVERN CUSTOMER'S ACCESS TO AND USE OF THE SERVICE (AS DEFINED BELOW) PROVIDED BY TRANTHOR ("Tranthor"). IN ACCEPTING THIS AGREEMENT BY (A) PURCHASING ACCESS TO THE SERVICE THROUGH AN ONLINE ORDERING PROCESS THAT REFERENCES THIS AGREEMENT, (B) SIGNING UP FOR A FREE ACCESS PLAN FOR THE SERVICE THROUGH A SCREEN THAT REFERENCES THIS AGREEMENT, OR (C) CLICKING A BOX INDICATING ACCEPTANCE, CUSTOMER AGREES TO BE BOUND BY ITS TERMS.

THE INDIVIDUAL ACCEPTING THIS AGREEMENT DOES SO ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY ("Customer"); SUCH INDIVIDUAL REPRESENTS AND WARRANTS THAT THEY HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THIS AGREEMENT. IF THE INDIVIDUAL ACCEPTING THIS AGREEMENT DOES NOT HAVE SUCH AUTHORITY, OR THE APPLICABLE ENTITY DOES NOT AGREE WITH THESE TERMS AND CONDITIONS, SUCH INDIVIDUAL MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE OR RECEIVE THE SERVICE.

1. The Service

1.1 Service Description

Tranthor is the owner and provider of a cloud-based software for product teams (the "Service"). Anything Customer (including Users) posts, uploads, shares, stores, or otherwise provides through the Service is a "User Submission." Customer is solely responsible for User Submissions. Tranthor may provide templates, help documents, or other information ("Tranthor Content"). Customer does not receive the underlying code or software for the Service (the "Software").

1.2 Customer's Subscription

Subject to this Agreement, Customer may purchase a subscription to access and use the Service as specified in one or more ordering screens on Tranthor's website that reference this Agreement ("Order(s)"). Subscriptions last for the period stated on the Order ("Subscription Period"). Only individuals authorized by Customer may access the Service for Customer's internal business purposes ("Users").

1.3 Tranthor's Ownership

Tranthor owns all right, title, and interest in and to the Service, Software, Tranthor Content, documentation, and anything else it provides (collectively, the "Tranthor Materials"). No implied licenses are granted; any rights not expressly granted are reserved by Tranthor.

1.4 Permissions

The Service includes customizable settings for managing roles and permissions among Users. Customer is responsible for choosing and monitoring these permissions. Customer may allow its Affiliates to use the Service, but Customer remains responsible for any breach of this Agreement by Affiliates.

2. Restrictions

2.1 Customer's Responsibilities

Customer is responsible for all activity in its accounts unless caused by an external party exploiting a Service vulnerability. Customer must ensure all Users comply with these terms.

2.2 Use Restrictions

Customer will not (and will not allow anyone else to):

• Modify, copy, or create derivative works based on the Service
• Reverse engineer or attempt to discover the Service's source code
• Resell or commercialize the Service
• Remove any proprietary notices
• Violate applicable laws
• Interfere with the Service's functionality or security
• Use or access the Service to build competing services
• Probe or test the Service's vulnerabilities without authorization

10. General Terms

10.10 Governing Law and Venue

This Agreement is governed by the laws of the United Arab Emirates. The courts of Ras Al Khaimah have exclusive jurisdiction over disputes arising from this Agreement.

10.11 Entire Agreement

This Agreement (including Orders) is the entire agreement between the parties concerning its subject matter and supersedes all prior or contemporaneous representations, written or oral.
